These Terms of Service ("Terms") govern your use of Midlight ("we", "us", "our"), including the web application at midlight.ai and any associated applications (collectively, the "Service").

By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Account & Eligibility

You must be at least 13 years old to use Midlight. You are responsible for maintaining the security of your account credentials. One person or legal entity per account.

2. What You Can Do

We grant you a limited, non-exclusive, non-transferable right to access and use the Service for your personal or internal business purposes, subject to these Terms and any applicable subscription plan.

3. Your Content

You retain full ownership of all documents, text, and files you create or upload ("Your Content"). We do not claim any intellectual property rights over Your Content. You grant us a limited license to store, process, and transmit Your Content solely to provide the Service to you.

4. AI Features

Midlight uses third-party AI models (such as OpenAI, Anthropic, and Google) to generate text and assist with editing. AI-generated content may not always be accurate. You are responsible for reviewing and verifying any AI output before relying on it. Your Content may be sent to these providers to process your requests; see our Privacy Policy for details.

5. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or to violate any laws
  • Attempt to reverse-engineer, decompile, or extract source code from the Service
  • Interfere with or disrupt the Service or its infrastructure
  • Share your account credentials with others or allow unauthorized access
  • Use automated tools to scrape, crawl, or overload the Service
  • Transmit malware, viruses, or other harmful code

6. Subscriptions & Billing

Midlight offers free and paid subscription tiers. Paid subscriptions are billed in advance on a monthly or annual basis through Stripe. You may cancel at any time; cancellation takes effect at the end of the current billing period. We do not offer refunds for partial billing periods.

7. Service Availability

We strive to keep the Service available at all times but do not guarantee uninterrupted access. We may perform maintenance, deploy updates, or experience outages.

8. Termination

You may delete your account at any time from your account settings. We may suspend or terminate your account if you violate these Terms. Upon termination, your data will be deleted within 30 days.

9. Limitation of Liability

To the maximum extent permitted by law, Midlight and its operators shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, profits, or revenue, whether incurred directly or indirectly. Our total liability for any claim arising from these Terms or the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

10. Disclaimer

The Service is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that AI-generated content will be accurate, complete, or fit for any particular purpose.

11. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or through the Service. Continued use after changes take effect constitutes acceptance of the updated Terms.
